Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Mr.Chief platform, including all associated software, APIs, agents, and content (collectively, the "Service"), operated by Pyratz Labs SAS, a French simplified joint-stock company ("Company", "we", "our", or "us").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

1. Definitions

  • "Service" — The Mr.Chief platform, including the web application at misterchief.ai, the OpenClaw agent runtime, APIs, dashboard, and any related software or content.
  • "User" / "you" — Any individual or legal entity that registers an account or accesses the Service.
  • "Agent" — An AI-powered worker deployed on your behalf within the Service, running on a dedicated OpenClaw instance.
  • "Tokens" — The unit used to measure AI model usage within the Service, consumed when Agents process messages, execute tasks, or run background processes.
  • "BYOK" — Bring Your Own Key: the option to connect your own API key from a third-party AI provider (e.g., Anthropic, xAI, OpenAI, Mistral) to power your Agents.
  • "Content" — Any data, text, files, instructions, or other material you submit to or through the Service.
  • "OpenClaw" — The proprietary agent runtime engine powering each dedicated AI instance on the Service.
  • "Subscription Plan" — The pricing tier you select (Free, Pro, Business, or Team), which determines token allocation, feature access, and billing.

2. Eligibility and Account Registration

To use the Service, you must:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction;
  • Have the legal capacity to enter into binding contracts;
  • Not be located in a country subject to embargo or designated as a terrorist-supporting country by the French, EU, or US governments;
  • Not be on any government list of prohibited or restricted parties.

You agree to provide accurate, current, and complete information during registration and to keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must notify us immediately at legal@misterchief.ai of any unauthorized use of your account.

If you register on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and the organization.

3. Description of Service

Mr.Chief is an AI agent management and deployment platform. The Service allows Users to:

  • Deploy one or more named, specialized AI Agents on dedicated, isolated virtual machine infrastructure;
  • Connect Agents to third-party tools and services (e.g., email, calendar, CRM, messaging platforms);
  • Configure Agent behavior, persona, and autonomy level;
  • Monitor, review, and audit Agent actions via Mission Control;
  • Optionally bring your own AI provider API keys (BYOK);
  • Access a marketplace of pre-built Agent skills via ClawHub.

Each Agent runs in an isolated environment (a dedicated OpenClaw instance on Fly.io Firecracker microVM infrastructure) and is not shared with other users. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with reasonable notice where practical.

4. Subscription Plans and Billing

4.1 Plans

The Service is offered under the following Subscription Plans:

Additional tokens on paid plans: €1.50 per 1M tokens (Pro/Business) · €1.25 per 1M tokens (Team). Token estimates: ~4,200 tokens/message. Background processes use ~0.75M tokens/Agent/month on paid plans. Free plan has a hard monthly cap; no overages are charged.

4.2 Billing

Paid Subscription Plans are billed monthly in advance, on the anniversary of your subscription start date. All prices are in Euros (EUR) and exclude applicable VAT unless stated otherwise. VAT will be added at checkout in accordance with applicable EU regulations. Payments are processed by Stripe, Inc. By subscribing, you authorize us to charge your payment method on a recurring basis.

4.3 Cancellation and Refunds

You may cancel your Subscription Plan at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then. We do not provide prorated refunds for partial billing periods, except where required by applicable law. If you cancel within 14 days of your first-ever subscription purchase and have not used more than 10% of your monthly token allowance, you may request a full refund by contacting billing@misterchief.ai (EU statutory right of withdrawal, Article L221-18 of the French Consumer Code, where applicable).

4.4 Price Changes

We reserve the right to modify pricing at any time. We will provide at least 30 days' written notice of price increases to active subscribers before they take effect. Continued use of the Service after the price change constitutes acceptance of the new price.

5. Bring Your Own Key (BYOK)

The Service allows you to connect API keys from third-party AI providers ("Provider Keys") to power your Agents. By enabling BYOK:

  • You represent that you have the right to use the Provider Key and that your use complies with the relevant provider's terms of service;
  • Provider Keys are encrypted at rest using AES-256 (Fernet) and are never logged or transmitted in plaintext;
  • You are solely responsible for all costs, usage, and obligations arising from your Provider Key usage;
  • We are not liable for any actions taken by the third-party AI provider, including suspension of your API key or changes to their terms;
  • You may revoke and delete your Provider Key at any time from Settings > BYOK.

6. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights;
  • Generate, distribute, or store content that is illegal, defamatory, obscene, or that constitutes hate speech, harassment, or incitement to violence;
  • Engage in fraud, phishing, impersonation, or deceptive practices;
  • Create or deploy Agents for spamming, mass unsolicited communications, or credential harvesting;
  • Reverse-engineer, decompile, or extract proprietary components of the Service or OpenClaw;
  • Attempt to gain unauthorized access to other users' data, infrastructure, or accounts;
  • Circumvent rate limits, token caps, or security controls;
  • Use the Service for cryptocurrency mining or resource-intensive tasks unrelated to AI agent operations;
  • Resell, sublicense, or white-label access to the Service without our prior written consent;
  • Upload or process content that infringes third-party intellectual property rights;
  • Use the Service in connection with weapons development, surveillance of protected groups, or activities prohibited under applicable law.

We reserve the right to suspend or terminate accounts that violate this policy, without prior notice in cases of severe or repeated violations. We may cooperate with law enforcement in connection with any suspected illegal activity.

7. AI Agent Behavior and Limitations

7.1 Nature of AI Output

Agents generate outputs using large language models (LLMs). AI outputs may be inaccurate, incomplete, outdated, or inappropriate. You are solely responsible for reviewing, validating, and acting on any Agent output. Do not rely on Agent outputs for medical, legal, financial, safety-critical, or regulatory decisions without independent verification by a qualified professional.

7.2 Autonomy and Approval Gates

Higher autonomy levels (Draft, Execute, Orchestrate) allow Agents to take real-world actions on your behalf, including sending messages, modifying files, executing code, and interacting with third-party services. You are solely responsible for configuring appropriate approval gates and for all actions taken by Agents operating under your account. We strongly recommend enabling human-in-the-loop approval for any irreversible actions.

7.3 Third-Party Integrations

The Service integrates with third-party platforms (e.g., Gmail, Slack, HubSpot, Notion). Your use of such integrations is governed by the respective third-party's terms of service. We are not responsible for the availability, accuracy, or behavior of third-party services. You are responsible for ensuring your use of integrations complies with all applicable terms and laws, including data protection obligations.

8. Data, Privacy, and GDPR

Our collection and use of personal data is governed by ourPrivacy Policy, which is incorporated into these Terms by reference.

  • EU-native infrastructure: All data is processed and stored within the European Union, on Fly.io infrastructure hosted in EU regions.
  • No shared tenancy: Each user's Agent runs on a dedicated virtual machine. Your data is never co-mingled with another user's data at the infrastructure level.
  • No training on your data: We do not use your Content, conversations, or Agent outputs to train AI models, either our own or those of third-party providers.
  • Data controller: Pyratz Labs SAS acts as data controller for account and usage data. You act as controller for any personal data you submit through your Agents.
  • Data processor agreements: We maintain GDPR-compliant Data Processing Agreements (DPAs) with all sub-processors. Requests for a DPA should be directed to privacy@misterchief.ai.
  • Your rights: Under GDPR, you have rights of access, rectification, erasure, portability, restriction, and objection. Submit requests to privacy@misterchief.ai.
  • Retention: Account data is retained for the duration of your account plus 90 days after deletion, except where longer retention is required by law. Team plan customers benefit from configurable 90-day audit log retention.

9. Security

We implement multiple layers of security for the Service, including:

  • Container isolation: Each OpenClaw Agent runs in a dedicated Docker container with non-root execution, filesystem isolation, and locked-down permissions;
  • Authentication: Each Agent deployment generates a unique gateway token; unauthenticated access is blocked by design;
  • Encrypted credentials: All API keys and sensitive credentials are encrypted at rest using AES-256 (Fernet);
  • Audit logging: All Agent actions are logged with full timestamps and context;
  • Daily security audits: Automated daily audits run on paid plans;
  • Firewall and intrusion prevention: All servers are provisioned with firewall rules and fail2ban from day one.

Notwithstanding the above, no system is fully immune to security incidents. You are responsible for securing your account credentials and for promptly reporting any suspected breach to security@misterchief.ai. We will notify affected users of security incidents as required under GDPR Article 34.

10. Intellectual Property

10.1 Our IP

The Service, OpenClaw, Mr.Chief branding, and all associated technology, software, designs, and documentation are the exclusive property of Pyratz Labs SAS and are protected by applicable intellectual property laws. You receive a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your personal or internal business purposes in accordance with these Terms. No other rights are granted.

10.2 Your Content

You retain all ownership rights in Content you submit to the Service. By submitting Content, you grant us a limited, non-exclusive, worldwide, royalty-free license to process, store, and transmit your Content solely as necessary to provide the Service to you. We do not claim ownership of your Content and will not use it for any purpose beyond operating and improving the Service as described in our Privacy Policy.

10.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use such feedback for any purpose without obligation to you.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR UNINTERRUPTED AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR ITS SERVERS ARE FREE OF VIRUSES OR HARMFUL COMPONENTS.

This disclaimer does not affect statutory rights that cannot be excluded under applicable law (including EU consumer protection law).

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PYRATZ LABS SAS AND ITS DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) €100.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Pyratz Labs SAS and its officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your Content; (d) your use of third-party integrations; or (e) any actions taken by your Agents operating under your account.

14. Term and Termination

These Terms remain in effect for as long as you use the Service.

  • By you: You may close your account at any time from account settings. Closure takes effect immediately for free accounts, or at end of the billing period for paid accounts.
  • By us: We may suspend or terminate your account immediately for material breach of these Terms, including Acceptable Use violations, non-payment, or fraudulent activity. For non-material breaches, we will provide 14 days' notice and an opportunity to remedy.
  • Effect of termination: Upon termination, your license to use the Service ends immediately. We will delete your data within 90 days of account closure, except where retention is required by law. You remain liable for all charges accrued before termination.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of France, without regard to conflict-of-law principles.

For consumers in the EU: Nothing in these Terms limits your rights under the mandatory consumer protection laws of your country of residence. You may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

For business users: Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the Commercial Court of Paris (Tribunal de Commerce de Paris). You hereby consent to personal jurisdiction in that court.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email (to the address associated with your account) and/or by posting a notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service before the effective date. For changes required by law or in response to security risks, we may provide shorter notice.

17. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy and any order forms or supplemental agreements, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.
  • Severability: If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.
  • Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, war, strikes, internet outages, or actions of third-party service providers.
  • Language: These Terms are written in English. Translations may be provided for convenience; in case of conflict, the English version prevails.
  • No Third-Party Beneficiaries: These Terms are for your and our benefit only. No third party has any right to enforce any provision of these Terms.
